What is a Confirmation Statement:

A confirmation statement is a filing that every company must submit to Companies House at least once every 12 months. It allows companies to report changes and confirm a number of different aspects about the company, including the SIC codes, share capital, shareholders, and the trading status of the company’s shares.

Additionally, it also confirms that all other information the company has reported at Companies House (for example, director and People with Significant Control details) is up to date and correct.

It replaced the Annual Return on 30 June 2016, and essentially has the exact same purpose – it verifies that all company information is accurate and up to date.

The Importance of Filing Your Confirmation Statement on Time:

If a company fails to file its annual confirmation statement within 14 days of the end of the review period, the company and its officers may be prosecuted.

In extreme cases, if a company consistently fails to file its confirmation statement or fails to comply with its obligations under the Companies Act, it may be struck off the register and dissolved. This means that the company will no longer exist, and its assets will be distributed in accordance with the law. The company’s directors may also be personally liable for any outstanding debts or liabilities. Directors need to ensure that the confirmation statement is filed on time to avoid these consequences.

Your confirmation statement is due no later than two weeks after the ‘made up to date’. The ‘made up to date’ is the anniversary of the last confirmation statement’s made up to date. If no confirmation statement has previously been filed, then the made up to date is twelve months after incorporation.

If you do not know when your confirmation statement is due, you can view it on Companies House by searching your company’s name on Companies House service.

A confirmation statement review period refers to the period of time which the confirmation statement covers. It confirms the information already submitted to Companies House during this time is correct and also confirms some additional information, e.g. changes to shareholders during this time.

The review period takes place from the date of incorporation or the day after the last confirmation statement was submitted, up to the ‘made up to’ date of your next confirmation statement (usually twelve months later).

In most cases, it is not necessary to report the changes that are detailed on the confirmation statement right away. However, it is considered best practice to submit a confirmation statement right after a change (for example, following a recent transfer of shares).

This may be important when dealing with third parties and other stakeholders – for example, your banks or suppliers may want to see the correct information reflected on Companies House.
